Voici un extrait de celles de Syntel qui montre que (c'est mon avis) tout ceci n'est pas une affaire de simple vol mais un problème de concurrence entre Syntel et Cognizant

Software licensees hire Trizetto or third party to provide various software services, including performing upgrades.
Trizetto who permits Facets customers to choose theit service provider competes with various third-party providers.
Depending on terms of Trizetto’s contract with each customer, a third-party provider can either
freely access Trizetto’s materials through the customer
Enter in a separate contact directly with Trizetto to gain access to Trizetto’s materials for purpose of servicing the customer.
Either way , the service provider is allowed to use Trizetto’s guides, manuals and other Facets materials for free.
2007 Syntel began providing employees to carry out Facets software services on Trizetto’s behalf.
2010 Syntel and Trizetto formalized the relationship by entering into the Master Services Agrrement (MSA), in exchange for guaranted yeraly minimum payments (~25 millions$)To avoid improper use of Trizetto’s confidential information ( design , architecture) , Syntel aggreed to comptete with Trizetto for services contacts. Trizetto data could nout be used without Trizetto’s agreement.
Syntel and Trizetto enjoyed a strong and cooperative relationship in which they worked together to outperform the Facets services competition and develop strategies to enhance Trizetto’s business.
During this period Syntel’s employees were given access to Facets technical documents to further Trizetto’s goals, including performing upgrades for customers.
2012 At Trizetto’s request the partie amendes the MSA.
In exchange for being releasef from its minimum financial commitments to Syntel, Trieztto removed all restrictions on Syntel’s right to compete for Facets service contacts. (Amended MSA)
The parties continued to enjoy a cooperative relationship.
November 2014 Syntel’s competitor , Cognizant, acquired Trizetto.
Syntel exercised its right to terminate the Amended MSA, requested payments of rebates owed under the contact and raided concerns with Trizetto’s hiring of significant number of Syntel employees who had been performing Facets services.
In response , Trizett refused to pay the rebates and for the first time raised concerns about Syntel’s use of Trizetto’s confidential information.
